Terms of Service

We're building software for real partners and real users. These terms exist so we all know the deal.

These terms set out how the Projex Labs services may be used, what rights and obligations attach to that use, and how disputes are resolved. By accessing projexlabs.com, creating a Projex Labs account, or signing in to a Projex Labs product, you agree to these terms.

Effective date: 17 October 2026
Governing law: the Kingdom of Saudi Arabia.

If you had an account before 17 October 2026, these terms apply to you from 16 November 2026. Until then the previous version applies. We are emailing you about the change.

In one paragraph

Use Projex Labs services for the purposes they are built for and do not do things that hurt other users, our systems or third parties. Your account is yours to use and ours to suspend or close if you break these terms. AI outputs can be wrong, so check them before you rely on them. We do our best to keep things running, but the services are provided as they are. Our liability is capped, except where the law does not allow a cap. You are responsible for the content you submit. Saudi law governs, and the courts of Riyadh have jurisdiction. We can update these terms, and material changes are flagged at least 30 days ahead. Questions: hi@projexlabs.com.

1. Who these terms are between

These terms are a binding agreement between you and Makhabir Al-Muntajat Al-Raqamiya Company for Telecommunications and Information Technology (شركة مخابر المنتجات الرقمية للاتصالات وتقنية المعلومات), a one-person limited liability company registered in the Kingdom of Saudi Arabia under Unified National Number 7053866732, with its address at Building 6268, Al Olaya Street, Al Olaya District, Secondary No. 3953, Riyadh 12211 (National Address: RHOB6268), trading as Projex Labs ("Projex Labs", "we", "us" or "our"). "You" means you, and if you use the services for an organisation, that organisation.

Where you sign in through a third-party provider (Google, Apple, Microsoft, GitHub), that provider remains an independent party with its own terms. These terms govern only your use of Projex Labs services.

2. What we provide (the Services)

The Services are:

  • our websites, including projexlabs.com;
  • our shared sign-in service at authz.projexlabs.com;
  • Cohort, a platform for designing and operating AI agent workflows;
  • Trellis, a software delivery and governance platform;
  • Skyline, a gateway that connects AI assistants to tools and accounts, including its cloud service, desktop application and mobile application;
  • OmniDeck, a voice-first AI workspace;
  • Projex Academy, our learning platform; and
  • any related documentation, support or update we provide, including the communications we send you about them.

Some Services have additional terms, set out in the Product Terms at the end of this page. If the Product Terms conflict with these terms, the Product Terms govern for that Service. These terms incorporate our Privacy and Data Protection notice and, for business customers, our Data Processing Addendum (available on request at legal@projexlabs.com). We may add, remove or change features. If we remove a material feature of a paid Service, we will give reasonable advance notice where practicable. Features marked beta, preview or trial are provided as they are, may change or end at any time, and are excluded from any service commitment.

3. Your account

3.1 Age. You must be at least 18 years old and have full legal capacity to use the Services. The Services are not directed to children, and you must not allow anyone under 18 to create an account.

3.2 Organisations. If you use the Services for an organisation, you confirm that you have authority to bind it to these terms.

3.3 Accurate information and security. Give accurate and complete information when you register and keep it up to date. Keep your credentials, including those of the provider you sign in with, reasonably secure, tell us promptly at security@projexlabs.com if you suspect unauthorised access, and take responsibility for activity under your account.

3.4 Sign-in providers. You sign in with an account you already have at Google, Apple, Microsoft or GitHub. We do not ask for or store a password. Your use of that provider is governed by its own terms and privacy policy. We receive only the information the provider shares with us, as described in our privacy notice. Those providers are not parties to these terms and have no responsibility to you for the Services. To the fullest extent permitted by law, Google, Apple, Microsoft, GitHub and their affiliates make no warranty and accept no liability to you in connection with the Services.

4. Acceptable use

You agree not to use the Services to:

  • violate applicable law (Saudi or otherwise), including the PDPL, anti-spam rules, intellectual property law or sanctions regimes;
  • attempt to gain unauthorised access to our systems, other users' accounts or any system connected to ours;
  • probe, scan or test the vulnerability of any system without prior written authorisation;
  • interfere with the normal operation of the Services (denial of service, automated abuse, excessive resource consumption);
  • harvest or scrape personal data of other users;
  • impersonate any person or entity, or misrepresent your affiliation;
  • upload or transmit malware, spam, or content that infringes third-party rights;
  • generate or distribute deepfakes or other deceptive AI content, or use AI agents to deceive people about whether they are talking to a machine;
  • resell or provide the Services to third parties as a service bureau, except as a Service allows;
  • build a competing product with the Services, or publish benchmarks of them without our consent;
  • circumvent usage limits, plan limits, metering, security or access controls; or
  • use the Services in any way that could damage, disable or impair them or interfere with another party's use.

We may suspend or close accounts that violate this section, with or without notice depending on severity.

5. Your content and intellectual property

5.1 Our IP. The Projex Labs brand, marks, design system, source code, documentation and product surfaces are owned by Projex Labs or licensed to us and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. This licence does not include a right to reverse-engineer, scrape at scale, or extract substantial portions of the Services for redistribution.

5.2 Your content. You own the data, content, files, code, prompts and records you submit, and the outputs generated for you, as between you and us. We do not claim ownership of them. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display your content only as needed to provide, secure, support and maintain the Services for you, to comply with law, and as described in our privacy notice and Data Processing Addendum.

5.3 No training by us. We do not use your content or outputs to train or improve AI models. We send your content to AI model providers only to generate outputs for you.

5.4 Personal data. Where your content includes personal data that we process on your behalf, we act as your processor and our Data Processing Addendum applies. Where we process personal data for our own purposes, such as account management and billing, we act as controller under our privacy notice.

5.5 Sensitive data. You may process health data or other sensitive personal data through the Services only if the law allows it and you have obtained any explicit consent it requires, you have completed any required impact assessment, you have configured the Services appropriately, and you have accepted our Data Processing Addendum. You are responsible for deciding whether the Services are suitable for your regulated use.

5.6 Export and deletion. You can ask for an export of your content at any time by writing to privacy@projexlabs.com; we answer within 30 days, and you can also use the Services' own tools where they exist. After your account ends, we will make it available for export for 30 days on request, then delete it within the periods in our privacy notice, except where the law requires us to keep it.

5.7 Open source. Some Projex Labs components are released under open-source licences (see projexlabs.com/opensource). Those licences govern those components and override these terms where they conflict.

6. AI features and outputs

6.1 Nature of AI. The Services use machine learning models, including models provided by third parties. Outputs are generated automatically, may be inaccurate, incomplete, offensive or not unique, and may not reflect real facts. Similar inputs may produce different outputs.

6.2 Your judgement. You are responsible for evaluating outputs before relying on them. Outputs are not professional advice, including medical, legal, financial or engineering advice. Do not use outputs as the only basis for decisions that have legal or similarly significant effects on a person without appropriate human review.

6.3 Ownership of outputs. As between you and us, and to the extent the law allows, you own the outputs generated for you. We assign to you any rights we may have in them.

6.4 Disclosure to people. If you make an AI agent available to other people, you must tell them clearly, no later than their first interaction, that they are interacting with an AI system, unless that is obvious from the context. You must label AI-generated or manipulated images, audio or video as required by law. The Services may show such notices by default, and you must not remove or obscure them where the law requires them.

6.5 Model providers. We choose and change the AI models and providers that power the Services. A model you select may be withdrawn or replaced if its provider stops offering it.

7. Third-party services

The Services can connect to third-party services: sign-in providers, AI model providers, accounts you connect to Skyline or OmniDeck, email delivery and infrastructure. When you connect one, you authorise us to exchange data with it on your behalf as needed for the connection to work. Your use of a third-party service is governed by your agreement with its provider. We choose our own processors carefully and bind them by contract where they handle personal data for us. We do not control, and are not responsible for, third-party services, their availability, or how they handle your data.

8. Privacy and data

Our handling of personal data is governed by our Privacy and Data Protection notice, which forms part of these terms. The PDPL rights described there are available to you at no charge.

9. Fees, credits and taxes

9.1 Free and paid Services. Some Services have free tiers. Paid tiers are governed by these terms, your plan or order form, and the published price list. Fees are due in advance for the billing period, and usage is charged at the published rates in force when it occurs.

9.2 Plan credit. Where a plan includes usage credit, it is applied only to usage at the published rates, expires at the end of the period stated in your plan, has no cash value, and is not refundable or transferable. Prepaid credit is applied before you are charged for further usage.

9.3 Price changes. A change to your plan's price takes effect from your next billing period, and we will give at least 30 days' notice of it. Changes to usage rates apply to usage after they are published.

9.4 Taxes. Projex Labs is not registered for value added tax. Prices exclude any tax that applies, and you are responsible for any taxes, duties and charges that apply to your purchase. We will issue invoices in the form the law requires, and will tell you if our registration status changes.

9.5 Payment and refunds. Payment is made through the providers we offer. If a payment fails, we may suspend paid features until it is made. Except where the law requires otherwise, fees and credits are non-refundable. Where a consumer withdrawal right applies under the Saudi E-Commerce Law, you may exercise it within the period the law provides, except for services already provided or digital content you have started to use with your consent. If you believe you were charged in error, contact billing@projexlabs.com within 60 days of the invoice. If you dispute a charge with your payment provider without first contacting us, we may suspend your account until it is resolved.

10. Suspension and termination

10.1 By you. You can stop using the Services and close your account at any time. To delete your account and its data, follow the steps at projexlabs.com/legal/delete-account or email privacy@projexlabs.com.

10.2 By us. We may suspend or end your access, with or without prior notice, if you materially breach these terms, if we are legally required to, if continued provision creates a security or operational risk, or if a Service is discontinued.

10.3 Effect. On termination your right to use the Services ends and the licences granted to you under section 5 end. We will keep or delete your data according to the retention schedule in our privacy notice. Provisions that by their nature should survive termination, including intellectual property, indemnities, limitation of liability, governing law and disclaimers, survive.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, PROJEX LABS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free or secure against all attacks, that any defects will be corrected, or that outputs will be accurate. Some laws do not allow certain exclusions, and in those places the exclusions apply only to the extent the law allows.

12. Limitation of liability

12.1 Excluded losses. To the fullest extent permitted by law, Projex Labs is not liable for indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profits, revenue, goodwill or data, or business interruption, arising out of or relating to these terms or the Services, even if advised of the possibility.

12.2 Cap. To the fullest extent permitted by law, Projex Labs' total liability arising out of or relating to these terms or the Services is limited to the greater of (a) the amounts you paid to Projex Labs in the 12 months before the claim, or (b) SAR 500.

12.3 Exceptions. Sections 12.1 and 12.2 do not limit:

  • liability for fraud, wilful misconduct or gross negligence;
  • your payment obligations;
  • your liability under section 13 or for breach of section 4; or
  • any liability that cannot be limited or excluded under applicable law.

13. Indemnification

13.1 By you. You will defend and indemnify Projex Labs, its officers, employees and agents against claims, losses, fines and costs (including reasonable legal fees) brought by third parties or authorities that arise from your content; your or your end users' use of the Services in breach of these terms or the law; or anything you build or deploy with the Services, including AI agents you make available to others.

13.2 By us. We will defend you against any third-party claim that the Services, as we provide them, infringe that third party's intellectual property rights, and pay the damages finally awarded or agreed in settlement. This does not apply to claims arising from your content, outputs, third-party services, combinations with items we did not provide, or modifications we did not make. If such a claim is made or likely, we may modify the Services, obtain a licence, or end the affected Service and refund prepaid fees for the unused period. This section states our entire liability for infringement claims.

13.3 Procedure. The indemnified party must promptly notify the other of the claim, give it sole control of the defence and settlement (but no settlement may impose an obligation on the indemnified party without its consent), and give reasonable cooperation.

14. Governing law and jurisdiction

14.1 These terms and any dispute arising from them are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-laws principles.

14.2 The parties will first try in good faith to resolve any dispute by negotiation for 30 days after one party notifies the other. If it is not resolved, the competent courts of the city of Riyadh, Kingdom of Saudi Arabia, have exclusive jurisdiction.

14.3 If you are a consumer, nothing in this section deprives you of protections you have under the mandatory laws of the place where you live, or of your right to complain to SDAIA about personal data.

15. Changes to these terms

We may update these terms to reflect changes to the law, our practices or the Services. If a change is material (new restrictions on use, changes to fees, expanded data collection, new Services, new governing law), we will tell you by email to your registered address or through the Services at least 30 days before it takes effect, unless the law requires it sooner or the change addresses a security issue. Continuing to use the Services after the change takes effect means you accept it. If you do not agree, stop using the Services and close your account under section 10. For changes to how we use personal data, we will ask for your consent where the law or a sign-in provider's policy requires it.

16. General

(a) Entire agreement: these terms, with the privacy notice, the Product Terms and any order form or plan terms, are the entire agreement between you and Projex Labs about the Services. (b) Severability: if a provision is unenforceable, the rest stays in force. (c) No waiver: failing to enforce a provision is not a waiver of it. (d) Assignment: you may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. (e) Independent parties: nothing in these terms creates an employment, partnership, agency or joint venture. (f) Notices: we may give notices by email to the address on your account or through the Services. Notices to us go to legal@projexlabs.com and, for formal notices, to the address in section 1. (g) Language: these terms are provided in Arabic and English. If the two versions conflict, the Arabic version prevails in the Kingdom of Saudi Arabia and the English version prevails elsewhere, to the extent the law allows.

Product Terms

Cohort

  1. Agents you deploy. You are the operator of any AI agent, workflow or charter you create in Cohort. You decide its instructions, the information it collects and who it talks to. You are responsible for its conduct towards your end users, and for the notices, consents and legal bases its use requires.
  2. Records and seals. Cohort may produce sealed records of the facts an agent collected and the evidence behind them. A seal shows that the record met the rules you configured when it was sealed. It is not a certification of the truth of the facts, and it is not legal, medical or other professional verification.
  3. Plan limits and metering. Plans set limits on concurrent runs, projects and access keys. When a limit is reached, new runs are refused until capacity is free. Tokens, compute, seals, enforcement events, storage and other usage are metered and charged as described in the published price list. Our meters are the record of usage, except for manifest error.

Trellis

  1. Your code and projects. Code, tasks, documents and artefacts you store in Trellis are your content. You are responsible for the licences of the code you store and for the actions of AI agents you authorise in your projects.
  2. Automated agents. Trellis lets AI agents propose and make changes, run builds and deploy software under governance rules you configure. You are responsible for reviewing and approving changes before they reach production systems, and for the consequences of the deployments you approve.

Skyline

  1. Connected accounts. When you connect a third-party service to Skyline, you authorise Skyline to act on that service on your behalf within the permissions you grant, including on instructions from an AI assistant you use. You are responsible for the permissions you grant and for actions taken through your connections.
  2. Desktop and mobile applications. We grant you a licence to install and use the Skyline applications on devices you own or control, for use with your account. App store terms (Apple App Store, Google Play) also apply to apps obtained from those stores. Apple and Google are not responsible for the applications or for support, and are third-party beneficiaries of this licence only as their store terms require.

OmniDeck

  1. Voice and memory. OmniDeck processes your voice to transcribe it, and keeps the transcripts, chats, files and memory described in our privacy notice. Your memory may be read and changed by AI assistants and clients you connect to it. You are responsible for which assistants you connect and what you allow them to do.
  2. Your own model provider. If you connect your own AI model provider or account, your use of it is governed by your agreement with that provider, and it receives the content you send to it.
  3. Recording others. Do not use OmniDeck to record or transcribe other people without the notice or consent the law requires.

Projex Academy

  1. Learning content. Course materials are licensed to you for your personal, non-commercial learning. Do not share your access or redistribute materials.
  2. Certificates. Certificates confirm completion of a course on our platform. They are not an academic qualification or professional accreditation unless expressly stated.
